The Toronto-based investment issuer said the offering was fully subscribed.

Why now? The raise landed after Cloud3 twice enlarged its target in quick succession. The company first announced the offering on June 2, 2026 for up to C$150,000, upsized it to C$300,000 on June 11, then to C$350,000 on July 2 — before closing on July 10.

What's the endgame? Cloud3 describes itself as an investment issuer that backs "high-potential companies" across various sectors. It plans to use net proceeds for general working capital and corporate purposes, and to identify and assess potential investment opportunities.

The fine print: No insiders participated, and no finder's fees or commissions were paid. The shares carry a four-month statutory hold period expiring November 11, 2026.
