Golden Rock Global raises £1.035m via convertible loan notes to fund SSS Matrix takeover
What's the deal? Golden Rock GlobalDealroom has a profile for this one. Try Dealroom →, a Jersey-registered shell company listed on the London Stock Exchange, has raised a further £1,035,000 (≈$1.4 million) through convertible loan notes.
That brings its total fundraising under the instrument to £1,490,000. The notes were issued to sophisticated investors and convert into ordinary shares.
Why now? The company is preparing a simplified prospectus to admit those shares to the Official List and the Main Market.
Subject to Financial Conduct Authority approval, it expects to publish the document by the end of July 2026.
The raise also advances Golden Rock's proposed acquisition of SSS Matrix Corp., first flagged in January 2026. Early due diligence has begun, and the board says initial findings are positive.
What could go wrong? The prospectus still needs FCA sign-off, and the acquisition rests on non-binding heads of terms.
Golden Rock is now engaging further advisers to push the deal forward, but nothing is yet locked in.
The signal: Having now closed its convertible loan note programme at £1,490,000, Golden Rock has assembled the capital base it needs to chase the SSS Matrix Corp. acquisition that could finally give the shell an operating business.
