Fox e-mobility AG raises up to €19.3M via three convertible bonds
What's the deal? German e-mobility firm fox e-mobility AG issued three mandatory convertible bonds on May 15, 2026, totalling up to €19,331,000. The bonds convert automatically into shares at maturity at a €1 conversion price and come with warrants allowing holders to buy additional shares at a minimum of €1.20.
The primary subscriber is PME Capital Financiere S.A., which took 62.5% of the Type A bond and 100% of the Type B and Type C bonds.
Why now? The issuance serves three purposes at once: acquiring strategic shareholdings worth €9M, restructuring €3.33M in existing liabilities, and securing a €1M loan. The shareholdings include a 10.691% stake in Silesian Power S.A. (valued at €6M) and a 26% stake in BP2 Invest AG (valued at €3M).
The move signals fox e-mobility is trying to reshape its capital structure while simultaneously expanding its portfolio of strategic investments.
What could go wrong? Mandatory convertible bonds dilute existing shareholders when they convert — and at a €1 conversion price, that dilution could be significant. If the share price stays low, early investors bear the brunt while new bondholders get cheap equity.
The reliance on a single dominant subscriber, PME Capital Financiere, also concentrates risk. Should that relationship sour, future financing rounds could prove difficult.
The signal: Fox e-mobility's complex, multi-purpose convertible bond structure — bundling acquisitions, debt restructuring, and fresh capital into a single instrument — is characteristic of small-cap European e-mobility firms navigating a funding environment where straightforward equity raises remain difficult. The company's decision to acquire strategic stakes in Silesian Power and BP2 Invest via paper rather than cash underscores how thinly capitalised players in this space are relying on financial engineering to build portfolios they cannot yet afford outright.
