Axogen to buy BioCircuit for $200M, adding sutureless nerve-repair device
What's the deal? Axogen has agreed to acquire BioCircuit Technologies for $200 million in cash at closing, subject to customary adjustments. The Nasdaq-listed company develops surgical solutions for restoring peripheral nerve function; BioCircuit is a privately held medical device maker behind NerveTape, the first FDA-approved device for sutureless nerve repair.
What's the endgame? NerveTape lets surgeons align, connect, and protect severed nerves without microsutures — a simpler, faster alternative to micro-suturing. By reducing reliance on microsurgical skills, it can extend nerve repair to more surgeons and care settings.
Why now? Axogen plans to pair NerveTape with its direct sales force, surgeon relationships, and hospital contracting to accelerate adoption within its existing focus markets. The device adds a foundational technology platform that may support future products and new indications.
The terms: At closing, $1 million will be withheld pending a post-closing purchase price adjustment. The deal is expected to close in the fourth quarter of 2026, subject to customary conditions, including the spin-out of BioCircuit's electronics research and development business.
Axogen expects the acquisition to be accretive to revenue growth, adjusted EBITDA margin, and adjusted earnings per share in the first year after close, while staying free cash flow positive.
“This acquisition advances our mission to restore health and improve quality of life by making restoration of peripheral nerve function an expected standard of care,” said Michael Dale, president and chief executive officer of Axogen.
Chief financial officer Lindsey Hartley called the deal “disciplined capital allocation” that “adds an attractive growth asset.”
The signal: Axogen is buying capability, not just a product — adding a differentiated, FDA-cleared platform to deepen its grip on peripheral nerve repair and broaden the surgeons and settings it can reach.
