Why now? The warrants expire on the earlier of five years from closing or 30 days after Quoin announces that its trial CL-QRX003-004 has met its primary endpoint. That trial evaluates QRX003 as a treatment for Netherton Syndrome, a rare genetic skin condition — tying the financing directly to a clinical milestone.

What's the endgame? Quoin plans to use the upfront proceeds for general corporate purposes, including completing clinical development of QRX003. Assuming all warrants are exercised in cash, the company expects the money to fund it into the second half of 2029.
