Italy clears Finiper's Unes Maxi to buy grocer Emmeci, adding 30 discount stores

What's the endgame? The transaction strengthens Unes's presence in Lombardy. It brings 30 affiliated MD banner discount stores that Emmeci manages, plus commercial property assets held by Mega, under the sole control of the Finiper Group.

The players. Unes Maxi runs about 200 owned and affiliated stores across Lombardy, Piedmont, Emilia-Romagna, and Liguria under the Unes and il Viaggiator GolosoDealroom has a profile for this one. Parent company Finiper posted consolidated national turnover of roughly €3-4 billion in 2025, while Emmeci and Mega reported revenues of €35-100 million and €1-10 million, respectively.

Market impact. AGCM analysed 19 overlapping catchment areas in Lombardy and found post-merger market shares generally below 25-30%, with share gains of 1-5% and diversion ratios under 20%. The targeted outlets represent just 0.11% of national retail turnover.

Why it clears. The regulator concluded the deal will not materially shift buyer power within national procurement or the ConadDealroom has a profile for this one. Mega's property leasing accounts for less than 1% of the market across the affected provinces of Bergamo, Brescia, Como, Lecco, Monza Brianza, and Sondrio.

The fine print. AGCM approved the agreement's non-compete and non-solicitation clauses as necessary to protect the acquisition's value. It required the parties to cap their duration at two years and limit their scope to the targets' geographic footprint.

The signal: The clearance reflects continued consolidation in Italian grocery retail, where regional operators expand through discount formats and purchasing alliances. For Finiper, adding Emmeci's discount stores deepens its hold on Lombardy without triggering competition concerns.
