Why now? The deal closed after BCAR shareholders approved it at an Extraordinary General Meeting on July 29, 2026. Warrants will trade separately under the symbol "XLABW."

What's the endgame? Exascale runs an asset-light platform supplying dedicated, scalable GPU compute and AI-ready data center capacity to enterprise AI developers, academic institutions, and AI-native platforms. It enters the public markets with an approximately $300 million qualified customer pipeline to fund commercial deployment and platform expansion.

Each existing BCAR unit will separate into one share of Class A common stock and one-half of one warrant, after which BCAR units cease trading as a separate security.

The signal: The listing reflects rising demand for AI compute, which the company says is increasingly limited by deployable power, cooling, and data center capacity. Going public via SPAC gives Exascale capital and visibility to compete for that constrained supply.
