Wellness retailer HCWC to become data center firm in reverse merger

Why now? HCWC's balance sheet is under strain. A recent 10-Q filing reported cash and equivalents of $900,000, negative working capital of $6.6 million, and net losses of $6.7 million for the six months to June 30, 2026 — enough to raise "substantial doubt about the company's ability to continue as a going concern."

The deal is expected to generate $1.25 billion in base-term revenue, rising to $3.2 billion if renewal options across a possible 30-year term are exercised. Revenue starts in the first quarter of 2027.
