The terms. MDNA acquired the shares and assumed certain Pearsanta liabilities, excluding all intercompany balances between Aditxt and Pearsanta. Aditxt retains a 2.5% royalty on Pearsanta's net revenue, capped at $2.5 million or the tenth anniversary of the first commercial sale, whichever comes first.
What's the endgame? Beyond the royalty, Aditxt is entitled to two milestone payments. One triggers within 10 business days if Pearsanta raises $10 million or more; the other follows a future IPO, change of control, or sale of substantially all of Pearsanta's assets.
Why it matters. The sale removes a subsidiary from Aditxt's balance sheet and could cut ongoing cash burn if Pearsanta was a significant cost centre. It also preserves future upside for shareholders without the operating costs.
The signal. The structure lets Aditxt shed operations while keeping a stake in Pearsanta's success — a divestiture designed to free the parent to focus on its core business while banking on someone else to scale the asset.
