What's the endgame? The company will use net proceeds to build a digital asset treasury, making SOL — Solana's native cryptocurrency — its primary reserve asset. Helius plans to tap the network's roughly 7% native staking yield and pursue DeFi opportunities, a contrast to non-yield-bearing assets like Bitcoin.

Why now? The oversubscribed private placement priced shares at $6.881, with stapled warrants exercisable at $10.134 over three years. Closing was expected on or about September 18, 2025.

The offering could deliver over $1.25 billion if warrants are exercised, according to the company.

Who's running it? The signal: At $500 million, the deal ranks in the 97th percentile of all post-IPO equity rounds for US health companies. It marks another entrant in the growing field of public companies converting balance sheets into crypto treasuries — this time betting on Solana rather than Bitcoin.
