Green Monkey CBD to be acquired by Nota Bene Ventures in reverse takeover

What's the deal? Nota Bene Ventures has signed a definitive agreement dated 17 August 2026 to acquire all issued and outstanding shares of Green MonkéDealroom has a profile for this one. Try Dealroom →, together with Cedar Health, in a proposed reverse takeover. The transaction remains subject to regulatory and exchange approvals.

What is being acquired? Green Monké is a hemp-derived Delta-9 THC and CBD sparkling-beverage brand sold directly to consumers and through retail across 13 US states. Its listings include Circle K, Target and Lowes Foods, with distribution through Johnson Brothers and the Anheuser-Busch InBev network. SPINS named it a Breakout Brand for the twelve months ended 31 May 2026.

What are the terms? Green Monké securityholders will receive an aggregate of 55,753,007 post-consolidation common shares of Nota Bene at a deemed price of C$0.45 per share, with additional shares tied to interest accrued on outstanding convertible debentures. The proposed transaction also includes a convertible-debenture financing of up to C$4 million, subject to completion conditions.

What's next? Following completion, Nota Bene plans to rename itself Loamara Co. and operate a multi-brand wellness platform spanning social wellness, longevity products and medical cannabinoid therapeutics.
