ECC Ventures 5 agrees to acquire Bayrock Resources

ECC Ventures 5 Corp. has entered into a business combination agreement to acquire Bayrock Resources Limited through a three-cornered amalgamation. The proposed transaction would give ECC5 control of Bayrock's Norwegian and Swedish base-metals exploration portfolio and is intended to serve as ECC5's qualifying transaction on the TSX Venture Exchange.

The parties also intend to complete a concurrent private placement targeting at least AUD$3 million to fund exploration work and general working capital. The transaction remains subject to customary conditions, including the financing and regulatory approvals.
