Proficient closes $130M Hansen and Adkins acquisition

What each side brings. Proficient transports finished vehicles across the US and Canada through a network of nine operating companies. Hansen & Adkins adds 725 company-owned tractor-trailer units, more than doubling Proficient's fleet, and expands its reach into Canada, where it operates under the MCL McGillDealroom has a profile for this one. The scale. The combined company transports more than four million vehicles annually, roughly a quarter of North America's addressable new-vehicle transportation market. Proficient has moved past unionised rival United Road to claim the top position.

The terms. Proficient launched a $75 million convertible bond offering to finance the acquisition. The offering settled on 13 August 2026; the notes carry 5.50% annual interest and mature on 15 August 2033.

Why now? Auto-haul capacity has compressed due to regulatory and economic pressures. Proficient says greater network density will improve asset utilisation and reduce empty miles — trips where trucks run without cargo.

What changes. The Hansen & Adkins name remains the largest operating company under Proficient, continuing as MCL McGill in Canada. Founders Steve Hansen and Louie Adkins will advise through the end of 2026, with integration expected to complete in early 2027.

What could go wrong. The convertible notes introduce potential dilution for existing shareholders if converted into equity. Full integration remains scheduled for early 2027.

The signal. The auto-transportation sector has consolidated as larger players buy smaller competitors for scale. Proficient, which listed in May 2024, has added four operating companies to its network — a bet that density wins in a capacity-constrained market.
