The deal is scheduled to close on September 1, 2026.

Who are the players? Pasona Group, founded in 1976, runs businesses spanning business process outsourcing (BPO), staffing, recruitment, and regional revitalisation. enFactory, established in 2011, operates an expert-matching business built around roughly 30,000 professionals, plus cross-company secondment programs and a 20-year e-commerce and DX support arm.

What's the endgame? Pasona wants to expand the customer and talent network behind its "ProShare" service, run by subsidiary Pasona JOB HUBDealroom has a profile for this one. Try Dealroom →, which draws on about 20,000 professionals and has been used by more than 2,500 companies. Adding enFactory strengthens Pasona's push to make its BPO offerings more specialised.

The acquisition also brings enFactory's e-commerce expertise into the fold. Pasona plans to use it to sharpen ProShare's marketing support and to bolster the group's e-commerce sites selling regional products under its regional revitalisation and tourism business.

Why now? Pasona is executing its "PASONA GROUP VISION 2030" plan, which prioritises higher-value BPO and deeper regional and tourism solutions. The company frames the deal around a shift in how firms staff themselves.

"AIの急速な進化や人材不足," rapid AI advances and labour shortages, are pushing companies toward what Pasona calls a "動的人材ポートフォリオ," a dynamic talent portfolio combining employees, professionals, side-job workers, and AI, said Motoyoshi Takagi, senior executive officer at Pasona Group and president of Pasona JOB HUB.

enFactory chief executive officer Kenta Kato said the tie-up would install his firm's "専門家ネットワーク," expert network, along with its DX, e-commerce, and cross-learning know-how, into Pasona's customer and regional base, accelerating a move toward a "次世代型組織変革プラットフォーム," a next-generation organisational transformation platform.

The signal: The deal reflects how Japan's staffing giants are repositioning as labour shortages and AI reshape corporate hiring. Rather than simply placing workers, providers are consolidating expert networks and digital capabilities to sell end-to-end transformation, with regional commerce as an added growth lever.
