The terms: eFinance will issue about 146.1 million new shares at EGP 26.34 each, plus cash of roughly EGP 956.4 million. Tamweely's shareholders will end up holding about 4% of eFinance after the capital increase.
The deferred piece: Part of the consideration is a performance-based cash component tied to Tamweely hitting agreed net profit targets for the 2026 and 2027 financial years. That amount becomes payable after Tamweely's 2027 financial statements are issued and is expected to settle during 2028. eFinance said the structure is designed to align the interests of both sides and link value to future performance.
What's the endgame? eFinance wants to combine its national digital infrastructure with financial services on a single platform. It plans to use its presence across agriculture, social protection, taxation, e-invoicing and customs to offer tailored financing. Merging its transaction data with Tamweely's credit expertise could build credit models based on customer cash flows rather than collateral.
Who is Tamweely? Founded in 2017, the company operates about 250 branches across 24 governorates. It has served more than 600,000 customers, with total financing exceeding EGP 20 billion, focused on productive and agricultural businesses and women-led enterprises.
The signal: The deal reflects a wider shift among fintech infrastructure players moving into direct lending to capture more of the value they help generate. For Egypt, folding a nationwide microfinance network into a state-linked digital platform could widen access to formal finance for small businesses.
