What's the endgame? The combined company will operate more than 48,000 digital screens across theatres, office buildings, and residential properties in 185 Designated Market Areas, including all of the top 100. NCM frames the deal as a step toward building a "market-defining premium video and digital out-of-home advertising platform."

What each side brings: Captivate operates over 26,000 screens across more than 11,000 office and residential buildings in over 170 markets in the US and Canada. Its core sits in more than 1,600 Class A and Class B office buildings, which generate roughly 90% of its ad revenue. In 2023, it expanded into residential properties, now more than 9,700 locations.

By the numbers: Captivate grew revenue approximately 40% and adjusted EBITDA by more than 50% over the past two years, according to NCM. The company says the deal will accelerate revenue growth and expand margins.

What changes for advertisers? NCM says the merger unites three audiences: its young, diverse moviegoers and Captivate's affluent professionals in offices and residences. That gives advertisers a single partner spanning cinema, workplace, and home, plus access to business-to-business marketing budgets.

The signal: The deal reflects consolidation in the digital out-of-home ad market, as players combine screen networks to sell broader reach across the places people work, live, and play. For NCM, long tied to cinema, it is a bid to diversify beyond a single, cyclical channel. The transaction remains subject to customary closing conditions.
