BIO-key raises $2.5M through warrant inducement deal

What's the deal? BIO-key InternationalDealroom has a profile for this one. Try Dealroom → (NASDAQ: BKYI) has entered a warrant inducement agreement with an existing institutional investor, expecting to raise about $2.5 million in gross proceeds. Under the deal, the investor will exercise outstanding warrants to buy 618,334 shares of common stock at a reduced exercise price of $4.06 per share.

The mechanics: The warrants being exercised were originally issued on October 28, 2025. In exchange, BIO-key agreed to issue new unregistered warrants to buy 1,236,668 shares, also priced at $4.06.

What's next? The new warrants become exercisable only after stockholder approval under Nasdaq rules and will carry a five-year term from that date. BIO-key plans to file a registration statement with the Securities and Exchange Commission covering the resale of shares issuable upon exercise.
