What's the deal? AuddiaDealroom has a profile for this one. Try Dealroom → (NASDAQ: AUUD), a Boulder-based AI audio technology company, said the US Securities and Exchange Commission has declared its Form S-4 registration statement effective, clearing a key regulatory step in its planned merger with Thramann HoldingsDealroom has a profile for this one. Try Dealroom →. On closing, Auddia will rename itself McCarthy FinneyDealroom has a profile for this one. Try Dealroom → and trade under the ticker MCFN.

Why now? Auddia signed the definitive merger agreement on February 17, 2026. With the S-4 now effective, the company will file a definitive proxy statement, distribute it to shareholders, set a meeting date, and hold a vote — the final procedural steps before closing.

What's the endgame? McCarthy Finney will operate as an AI holding company, delivering AI and Web3 services to four portfolio businesses: Auddia, LT350Dealroom has a profile for this one. Try Dealroom →, Influence HealthcareDealroom has a profile for this one. Try Dealroom →, and VoyexDealroom has a profile for this one. Try Dealroom →. Thramann Holdings, a single-member Colorado LLC, fully owns the latter three.

Those businesses span distinct markets. LT350 builds distributed AI datacenters using solar parking-lot canopies fitted with battery storage and GPU cartridges, and holds 13 issued patents. Influence Healthcare applies AI and blockchain to value-based care in surgical specialties, while Voyex is a travel platform using agentic AI and charter aircraft.

What did the company say? "This milestone clears the path for the proxy filing and shareholder vote," said Jeff Thramann, chief executive officer of Auddia. He added that the company was "excited to move into the final stages of the merger."

What could go wrong? Closing remains subject to shareholder approval and other conditions. The deal also folds four early-stage operating companies across datacenters, healthcare, and travel into one holding company — a broad remit that will test management focus.

The signal: The transaction reflects a growing trend of small-cap public companies reinventing themselves around AI, using a listed shell to bring together early-stage ventures under one holding structure. Whether McCarthy Finney can turn a diverse portfolio into a coherent business is the question its shareholders now face.
