Grafta Nanotech goes public via QT, raises $1.84M in placement
What's the deal? Grafta NanotechDealroom has a profile for this one. Try Dealroom → Corp. — formerly capital pool company Wittering Capital Corp. — has completed its qualifying transaction, acquiring all outstanding securities of Grafta Nanotech Inc. (GNI). The deal proceeded via a three-cornered amalgamation under the Business Corporations Act (Alberta).
How it worked: Before closing, the company consolidated its shares two-for-one and rebranded from Wittering Capital to Grafta Nanotech. GNI shareholders received one resulting issuer share for each GNI share, and now hold 73,417,106 shares — roughly 94% of the 78,417,106 shares outstanding.
The financing: Alongside the transaction, GNI raised $1,844,000 through a private placement of 9.22 million subscription receipts at $0.20 each. Each receipt converted into a unit of one share and half a warrant, with each full warrant exercisable at $0.40 until February 5, 2028.
Who's running it: Mark Bentsen leads as chief executive officer and director, with Douglas Keast as chief financial officer and corporate secretary, and Edwin Safari as vice-president, technology. Dain Currie and Matt Colucci join the board as directors.
Why now? Qualifying transactions give private companies a faster route to public markets than a traditional listing. For GNI, the deal turns a dormant capital pool shell into a trading vehicle with fresh capital.
