The terms. Each Southern Realty Trust share converts into 1.45 newly issued Sunrise Realty Trust shares, a 6% premium to Southern Realty Trust's book value per share relative to Sunrise Realty Trust's as of 30 June 2026. Sunrise Manager will provide additional consideration to Southern Realty Trust holders.

By the numbers. On a pro forma basis as of 30 June 2026, the combined company would hold roughly $534 million in total assets, $289 million in book value and $604 million in total loan commitments across 14 portfolio loans.

What it means. Sunrise Realty Trust expects the combination to support wider margins, broader index inclusion, improved trading liquidity and access to cheaper leverage. The deal also reduces its incentive fee from 20% to 17.5% and its hurdle rate from 8% to 7%.

The signal. The transaction reflects consolidation among smaller, externally managed real estate lenders seeking scale in public markets by combining affiliated vehicles on to one balance sheet.
