The numbers: The companies within the Smarter Technologies portfolio together generate more than $800 million in annual revenue, according to Access chief legal officer Chad Knight.
Why it was complex: The transaction was structured under Singapore law and involved US private equity ownership alongside Indian and US selling shareholders. It was also designed to keep founders and management engaged over the long term.
What's the endgame? Knight, who led the negotiations, said the structure required navigating "legal and accounting rules from five countries to get the deal done." He added: "I led calls with up to 50 participants from law firms, CPA firms, and investors."
