Founded in 1939 and headquartered in Columbia, Maryland, the company provides compliance-driven engineering and consulting services across code consulting, fire and life safety design, and nuclear safety advisory. It has around 2,000 employees across 110 offices serving clients in over 100 countries.

The hire: On closing, Dr. Hisham MahmoudDealroom has a profile for this one. Try Dealroom → will become chairman of the board. Mahmoud is a senior advisor at New Mountain, where he helps shape the firm's infrastructure services investment strategy.

Why now? New Mountain says it first identified Jensen Hughes more than a decade ago and has tracked it since. The firm plans to fund growth through investment in the company's people, capabilities, and strategic acquisitions.

What's the endgame? Chief executive officer Raj Arora framed the deal as a way to expand capabilities and help clients meet tightening safety and regulatory demands. "New Mountain has extensive experience building leading engineering and consulting businesses," he said.

The signal: Private capital continues to flow toward compliance-heavy, mission-critical engineering services — steady, regulation-driven businesses that offer a platform for bolt-on acquisitions and global expansion.
