Carnation moves to become a beverage maker with two acquisitions
What's the deal? Carnation Industries has agreed to acquire 100% of Oniv Beverages Private LimitedDealroom has a profile for this one. Try Dealroom → for a consideration not exceeding INR 5.00 crores, and signed a business purchase agreement with Integra Essentia 11 Limited carrying a total capital commitment of Rs 3,325 lakhs. The company disclosed both deals, struck during the 2025-26 financial year, alongside its results for the quarter ended June 30, 2026.
What's the endgame? Carnation is repositioning as a beverage business. The board has proposed changing the company's name from Carnation Industries Limited to Ebravea Beverages Limited, a filing still pending with the Registrar of Companies.
Where do the deals stand? Under the Oniv share purchase agreement, Carnation had paid Rs 1,169.94 lakhs toward working capital up to June 30, 2026. It had paid an advance of Rs 332.50 lakhs against the Integra Essentia commitment.
How are the numbers? Carnation reported total income of Rs 172.56 lakhs for the quarter, against total expenses of Rs 49.83 lakhs. It posted a net loss of Rs 51.62 lakhs from continuing operations, with finance costs of Rs 35.04 lakhs the largest expense line.
What else changed? The board is moving the registered office from West Bengal to Delhi, approved by members through a postal ballot. It also set its annual general meeting schedule: remote e-voting runs from August 23 to August 25, 2026, with book closure from August 20 to August 26, 2026.
What could go wrong? Several corporate steps remain incomplete. The name change and an increase in authorised share capital are awaiting statutory filings, and the office shift is still underway. The reported working capital outlay under the Oniv agreement also far exceeds the deal's headline consideration.
The signal: The transactions mark an attempt to pivot an industrial company into consumer beverages through acquisition rather than organic build-out. Whether the rebrand and integration translate into revenue — the quarter showed no revenue from operations — will determine if the strategy holds.
