Intermap to buy satellite imaging firm PCI Geomatics for $11M

What's the deal? Intermap TechnologiesDealroom has a profile for this one. Try Dealroom → has signed a definitive agreement to acquire PCI GeomaticsDealroom has a profile for this one. Try Dealroom → Group, also known as CATALYST, for $11 million in cash. The Denver-based geospatial intelligence company will buy all outstanding PCI shares it does not already own, through an arrangement under the Canada Business Corporations Act.

What do they do? Intermap builds proprietary 3D elevation data and AI-driven analytics. PCI supplies commercial geospatial image processing technologies, with more than 750 proprietary algorithms delivered as cloud-native microservices, supporting imagery from over 500 in-orbit satellites and embedded in thousands of workflows worldwide.

Why now? The two firms already share a long strategic and technology relationship, and Intermap held an ownership stake in PCI before the deal. The acquisition combines PCI's satellite image processing with Intermap's 3D elevation models to enable automated, real-time downstream products.

What's the endgame? Intermap says the deal extends its technology leadership in edge-enabled synthetic-aperture radar (SAR), optical image, and GEOID processing. It also expects the transaction to be immediately accretive to commercial revenue growth, earnings, EBITDA, and cash flow.

What changes? June McAlarey, president and chief executive officer of PCI, will keep her role and take on added duties as an Intermap executive vice president responsible for the commercial business.

What's next? Both boards have unanimously approved the arrangement. Intermap has secured voting support agreements from Grenadier Investments, a major PCI shareholder, and from PCI directors and officers holding shares, who have agreed to vote in favour.

The signal: The tie-up reflects a push toward consolidating geospatial capabilities across the stack — from sensor-edge image processing to downstream 3D products — as demand grows for automated, sovereign, and secure satellite data workflows.
