Vireo to acquire Planet 13 at 24% premium, expanding cannabis footprint

Each Planet 13 share converts into 0.015383618 of a Vireo subordinate voting share — a 24% premium over Planet 13's closing price on July 24, 2026, and a 16.6% premium over its 20-day volume weighted average.

Who's involved? Both companies are vertically integrated cannabis operators. Vireo describes itself as an agricultural markets platform, while Planet 13 runs multi-state operations anchored by its flagship Las Vegas superstore.

What changes? The deal adds 36 dispensaries, three active cultivation and production assets, a distribution license, and a cannabis consumption lounge license. It also brings expansion capacity of up to 2.3 million square feet of cultivation and production in Nevada.

Where it lands: In Florida, Vireo gains roughly 33 dispensaries, making it the state's second-largest dispensary network with about 106 dispensaries on a pro forma basis. In Nevada, it adds the Las Vegas superstore and reaches around 17 dispensaries. It also picks up a dispensary in Waukegan, Illinois.

What's the endgame? Once all announced and pending acquisitions close, Vireo expects to operate roughly 265 dispensaries across 15 states. The company is building operating scale in Nevada and Florida while establishing a foothold in Illinois, a limited-license state.

What could go wrong? The transaction still needs Planet 13 stockholder approval, an effective Form S-4 registration statement with the US Securities and Exchange Commission, Canadian Securities Exchange listing approval, and cannabis regulatory sign-offs.
