Helium Evolution raises C$25M private placement, top 5% for Canada

What's the deal? Helium EvolutionDealroom has a profile for this one. Try Dealroom → (TSXV:HEVI) has raised roughly C$25 million in a private placement, with new international investors subscribing for C$23.7 million alongside insiders and other backers. The Calgary-based company holds the largest helium land position in North America among publicly traded firms.

The details: The financing consists of about 166.7 million units at C$0.15 each, each pairing one common share with a three-year warrant exercisable at C$0.30. It is expected to close around August 5, 2026, subject to TSX Venture Exchange approval.

How big is it? The round ranks in the top 5% of non-venture private placements in Canada over the trailing 48 months, based on a sample of 4,084 deals. That places it well above the typical raise for its type and region.

What's the money for? Net proceeds will accelerate exploration and development across the company's Saskatchewan helium assets, fund future drilling and infrastructure, and cover general corporate purposes.

Why now? Chief executive officer Malcolm Adams tied the raise to two recent developments: a cut in annual land tenure costs and upcoming 3D seismic results in the Mankota/Grasslands core area. The Government of Saskatchewan has also reset over 5 million acres of the company's Crown helium lands under new six-year terms.

What they said: "Their investment reflects their confidence in our strategy, our team and the opportunities we see across our land base," Adams said, adding that the financing provides "the financial strength to accelerate exploration and development."

The signal: A top-decile private placement for an exploration-stage helium company points to continued investor appetite for the gas, which is critical to semiconductors, medical imaging, and space applications. For HEVI, the fresh capital and expanded land terms set up a push from exploration toward development.
