Intermountain to buy Idaho hospitals from Surgery Partners in $795M deal

The terms: The deal values the combined Idaho Falls facilities at roughly $1.15 billion. The final price is subject to customary adjustments for indebtedness, working capital, transaction expenses, and other closing items.

What changes? Physician ownership of Mountain View Hospital will remain unchanged as part of the transaction.

What could go wrong? Closing depends on several conditions, including binding Securities Purchase Agreements, approval from Mountain View's physician members and governing board, and clearance under the Hart-Scott-Rodino Act. Intermountain also needs other regulatory approvals and certain third-party consents.

Why now? Surgery Partners, a Nasdaq-listed operator of surgical facilities, is divesting the Idaho Falls assets to Intermountain, a regional health system. The transaction is expected to close in the coming months.

The signal: The deal reflects continued consolidation in US healthcare, as regional systems expand their footprint by absorbing facilities from national operators.
