Netel and Infrea clear final regulators, near merger completion

What's the deal? Swedish infrastructure companies Netel Holding AB and Infrea ABDealroom has a profile for this one. Try Dealroom → said on July 23, 2026 that they have secured all required regulatory approvals for their planned merger. The Swedish Competition Authority cleared the deal, and the Inspectorate of Strategic Products decided no action was needed under foreign direct investment screening rules.

Why now? The approvals fulfil conditions the two boards set out when they announced the merger on June 15, 2026. With the regulatory hurdles cleared, completion now hinges only on the remaining conditions (a) to (g) from that announcement.

What's the endgame? Combining the two firms brings together players in Swedish infrastructure services under a single group. The deal marks a step in consolidation across the sector.

What could go wrong? The merger is not yet closed. Several non-regulatory conditions must still be met before the transaction can complete.

Netel has engaged Polar Advisory as financial adviser and Linklaters as legal adviser, with Arctic Securities advising on debt financing. Infrea is working with DNB Carnegie Investment Bank and law firm Schjødt.

The signal: Clearing both competition and foreign-investment review removes the biggest external risks to the tie-up, leaving completion largely in the companies' own hands.
