Demuric Holdings lifts UPL stake to 22% via share amalgamation

The numbers: Demuric held 5,228,343 shares — 0.62% of voting capital — before the deal. The transaction transferred 180,764,622 voting shares, bringing its total to 185,992,965 shares, or 22.03% of UPL's share capital.

The terms: UPL's equity capital is unchanged at Rs 1,68,83,38,636, split into 844,169,318 shares of Rs 2 each. Demuric confirmed no shares were encumbered and no warrants or convertible securities were involved.

Why now? The disclosure was filed by Rajnikant Devidas Shroff, a director of Demuric, under Regulation 29(2) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
