VENU raises $20M bridge loan to finish Texas amphitheater

What's the deal? Venu Holding Corporation (NYSE American: VENU) has secured a $20 million bridge loan from Ryan, LLC to fund construction of its 20,000-seat Sunset Amphitheater in McKinney, Texas. The live entertainment developer expects the venue to open in the first quarter of 2027.

Why now? The facility bridges VENU to permanent financing, which the company expects to close in the third quarter of fiscal 2026. That permanent round is expected to fully fund the remaining construction balance for the McKinney venue.

What's the endgame? VENU owns, operates, and develops premium live entertainment destinations, with venues across Colorado, Georgia, Oklahoma, Tennessee, and Texas. It is pursuing a national expansion built on public-private partnerships and fractional ownership rather than equity offerings.

The loan deepens an existing relationship: Ryan has served as a national expansion partner since 2023, sourcing sites and structuring incentives, and also acts as VENU's official tax partner.

Between the lines: The debt structure lets VENU keep building without issuing shares. "This financing lets us keep construction moving on one of our most anticipated venues without diluting shareholders and keeps the asset on our balance sheet," said J.W. Roth, VENU's founder, chairman, and chief executive officer.

The signal: The quick re-raise shows VENU is leaning on debt and partnerships to scale its venue pipeline while protecting shareholder value — a capital strategy it is repeating as it moves toward a larger permanent financing round.
