Total consideration is roughly $203 million, or about 8.8 times AWM's trailing 12-month EBITDA. The deal is expected to close in the third quarter of 2026, subject to regulatory clearance.
What does each side do? ARRAY, listed on the Nasdaq, supplies solar tracking technology, fixed-tilt products, foundation solutions, and software. AWM makes products that organise, secure, and protect electrical wiring to improve system reliability, safety, and installation efficiency.
The terms: The $203 million total breaks into a $153 million base purchase price plus additional consideration of up to $50 million. The final upfront cash figure will be set at closing, subject to customary adjustments.
By the numbers: AWM generated nearly $60 million in trailing 12-month revenue on a capital-light model. ARRAY expects the deal to be high single-digit accretive to its adjusted earnings per share in year one, before synergies.
What's the endgame? The purchase widens ARRAY's balance-of-system portfolio and opens growth in battery energy storage (BESS) and datacenter markets. "Together, we will be able to offer a more complete, integrated solution to our customers across the solar, battery storage, and datacenter markets," said chief executive officer Kevin G. Hostetler.
What changes? AWM's results will fold into the ARRAY Legacy segment, and its senior management team is expected to stay. Co-founder Scott Rand said ARRAY's "scale, customer relationships, and global reach will make this the ideal home for our team and our products."
The signal: The acquisition reflects consolidation among renewable-energy suppliers seeking to sell integrated packages rather than single components. By bundling tracking, foundations, and wiring, ARRAY is positioning to capture demand across solar, storage, and the fast-growing datacenter buildout.
