American Resources' recycling arm closes $9.5M convertible round
What's the deal? Electrified Materials Corporation (EMCO), a majority-owned subsidiary of American Resources Corporation (NASDAQ:AREC), has closed a $9.5 million private placement of Series A Convertible Preferred Stock. It sold 378,200 shares at $25.00 each, with initial tranche funding on May 22, 2026. Maxim Group acted as sole placement agent.
What does EMCO do? The company recycles metals and minerals for advanced technology, commercial, and defense markets. It preprocesses end-of-life magnets, batteries, and ferrous metals to secure domestic supply of copper, aluminum, steel, rare earth elements, and battery materials.
What are the terms? Each preferred share converts into common stock at the lesser of 85% of an initial go-public listing price, or $125 million divided by fully diluted capitalisation at the time of a go-public transaction. The structure ties investor returns to a future public listing that has not yet occurred.
What's the endgame? Through a partnership with ReElement Technologies Corporation, EMCO aims to deliver an integrated recycling solution supporting a resilient US critical mineral supply chain. Parent American Resources positions itself across both ends of the refining process, from extraction to recycling.
What could go wrong? Conversion terms hinge on a go-public transaction that may or may not happen. Until then, the preferred shares remain unregistered and cannot be freely resold in the US.
The signal: At $9.5 million, the round sits in the 92nd percentile of all-time convertible rounds in its region, out of more than 7,200 comparable deals. That scale signals sustained investor appetite for domestic critical mineral and battery recycling as the US pushes to reduce supply chain dependence.
