Who's involved? SDM, founded in 2018, supports more than 130 dentists and 720 team members across Connecticut, Massachusetts, Maryland, New Hampshire, New Jersey, New York, Pennsylvania, Vermont, and Washington D.C. GDP already operates in half of those states.
The financials: SDM's company EBITDA grew 115% from 2022 to 2024, with practice-level EBITDA margins holding at 20%. Terms of the transaction were not disclosed.
Why now? SDM's Northeast footprint sits in a region with high median household incomes and strong commercial insurance penetration. Dental service organisation (DSO) affiliation rates across those states remain below the national average, leaving room to expand.
What's the endgame? GDP wants to scale its partnership model without changing its approach. "Not growth for its own sake, but intentional growth that expands what we can offer the dental professionals we work tirelessly to support," said chief executive officer Danny Kawas.
Both companies run dentist-equity models and joint-venture structures, which GDP says makes the fit "seamless." The combined platform will share infrastructure, clinical programming, and a network that will number 500 doctors once the deal closes. GDP plans to open its training arm, DDS Academy, to SDM's clinicians.
The signal: The deal reflects continued consolidation in the fragmented US dental market, where DSOs are buying scale in high-income, under-penetrated regions. For GDP, the Northeast is the next frontier.
