Try Dealroom → (Nasdaq: FRGT), the Houston-based logistics company known as Fr8Tech, has raised $1.2 million through the sale of 1,200,000 Series C preferred shares to an institutional investor. The company expects net proceeds of roughly $1,150,000, which it will use for its ongoing restructuring, working capital, and general corporate purposes.
What's the endgame? Fr8Tech is transitioning from an online freight broker into a pure-play, software and AI logistics technology company. It is building an AI-native freight platform and scaling its SaaS and AI product offerings, which it expects to support a higher-margin business model.
The layoffs: Fr8Tech completed significant workforce reductions in the second quarter of 2026, concentrated in its brokerage operations. It expects to substantially complete the restructuring by the end of the third quarter and to incur roughly $0.4 million in severance and other costs — $0.2 million of which landed in the second quarter.
Why now? The company is exploring strategic alternatives for its brokerage business, including a potential sale, and has engaged multiple interested parties. Certain Fr8Fleet dedicated capacity operations were transitioned to other operators in the second quarter; discussions over Fr8AppDealroom has a profile for this one. The raise follows a June 18 announcement of a $2.5 million loan, used to repay and terminate the company's prior credit facility. The new loan bears interest at 10.0% per annum, matures on June 17, 2027, and consolidates Fr8Tech's debt under a single lender.
What could go wrong? The balance sheet is tight. As of June 30, 2026, Fr8Tech held about $285,000 in cash and cash equivalents against roughly $2.5 million in accounts payable and accrued expenses and $2.5 million in short-term debt. The company also cautions that no assurance can be given that its strategic review will produce any transaction.
The signal: Fr8Tech's pivot reflects a broader industry bet that software and AI, rather than asset-heavy brokerage operations, offer a clearer path to margin. Whether a lean, capital-light freight platform can outrun the company's near-term cash constraints is the open question.
