Try Dealroom → Holding B.V., a Netherlands-based pharmaceutical developer and contract development and manufacturing organisation (CDMO). The transaction is expected to close shortly. What does Basic Pharma do? Founded in 2003 by pharmacist Bob Kool, the Geleen-based company develops and manufactures nasal sprays and semi-solid pharmaceuticals, serving prescription and over-the-counter clients internationally. It ranks among the top European nasal spray CDMOs by production capacity.
Why the model matters: Basic Pharma runs a “licence & supply” model, developing and registering its own product dossiers, then out-licensing them to distributors and partners while keeping exclusive manufacturing and market authorisation rights. That approach creates long-term customer relationships and recurring revenue.
Why now? The investment offers a succession solution for Kool, who reinvests alongside SHS Capital and stays on as a shareholder and Advisory Board member. “For more than two decades, we have built Basic Pharma into an integrated pharmaceutical platform with a strong team and loyal, long-standing customers,” Kool said.
What's the endgame? SHS Capital wants to build Basic Pharma into a leading European speciality pharma and dossier development platform for nasal sprays. The plan centres on operational excellence, international expansion in European markets with attractive pricing, and selective buy-and-build deals.
The signal: The deal targets a fragmented European CDMO landscape, positioning Basic Pharma as a consolidation platform in a niche where in-house dossiers and manufacturing rights command durable pricing power.
