What's the deal? Cornus HoldingDealroom has a profile for this one. Try Dealroom → has acquired XARISDealroom has a profile for this one. Try Dealroom → GmbH, a Vienna-based provider of digital inventory checks, with advisory firm Crowe BPG handling the financial due diligence and commercial advisory. The move extends Cornus Holding's compounding strategy focused on the DACH region.

What does XARIS do? The company runs digital inventory audits — known as floor checks — for the automotive and mobile heavy-equipment trade. It digitises physical inventory and control processes that matter for dealer and bank financing, and also manages the return and remarketing of leased assets.

What's the endgame? With the acquisition, Cornus Holding enters the market for digital process services around dealer financing, leasing, and inventory controls. XARIS is tightly embedded in its customers' workflows, offering what the parties describe as a "schwer ersetzbaren" process-critical service.

What changes? Little for now. Rainer Dinkhoff will continue to lead XARIS as managing director after the deal.

Who advised? Crowe BPG's team ran the financial due diligence and commercial advisory, led by partner Andreas Hoffmann with associate manager Holger Redle. Tax advice came from Austrian partner firm Crowe SOT GmbH, with Andreas Maier and Karin Krapinger-Jandl handling the tax due diligence and the sale and purchase agreement.

The signal: The deal shows continued consolidation of niche, process-critical service providers within the DACH region, as buyers pursue compounding strategies built on hard-to-replace digital services embedded in financing and leasing workflows.
