VitalHub buys Finland's Buddy Healthcare for €8.6M to enter Nordics

What's the deal? Canadian healthcare software firm VitalHub (TSX:VHI) has acquired Finnish care coordination platform Buddy HealthcareDealroom has a profile for this one. Try Dealroom → for €8.6 million up front, plus potential performance-based consideration. The closing payment combined €8.3 million in cash, subject to working capital adjustments, and 75,000 VitalHub common shares.

The terms: Buddy Healthcare's founders can earn up to €4.5 million in all-cash earnouts, tied to performance targets over the first two calendar years after the deal. As at June 30, 2026, Buddy had annual recurring revenue of roughly €2.8 million and was near adjusted EBITDA breakeven.

What each does: Founded in 2016, Buddy Healthcare digitalises specialised care pathways, replacing physical notes, phone calls, and unnecessary hospital visits with automated patient guidance. Its platform, a web app for clinicians and a mobile app for patients, is used across Europe, including Finland and the UK. VitalHub sells patient flow and engagement software to health systems internationally.

What's the endgame? The acquisition gives VitalHub a foothold in the Nordic market and adds what it calls a "digital backdoor solution" that fills a gap in its patient flow suite. Buddy already has a growing UK operation, and VitalHub aims to accelerate that growth through its existing UK customer relationships and commercial infrastructure.

"We have known Buddy Healthcare for a long time and have been impressed by the team's solution and ability to help hospitals digitize and automate complex care digital pathways across over 23 specialties," said Dan MatlowDealroom has a profile for this one. What changes for customers? Buddy's local management team stays on and remains committed to developing the platform. The combined offering pairs Buddy's care pathway tools with VitalHub's wider software estate, which the company says improves access, coordination, and delivery of care.

"We believe VitalHub is the ideal long-term home for our business, bringing deep healthcare expertise, a strong international presence, and a shared commitment to improving outcomes," said Jussi MäättäDealroom has a profile for this one. Try Dealroom →, chief executive officer of Buddy Healthcare.

The signal: The deal reflects continued consolidation in healthcare software, where established players acquire focused, near-profitable startups to plug product gaps and expand into new geographies. For VitalHub, a modestly sized bolt-on buys both a Nordic beachhead and a route to scale Buddy's UK business faster than either could alone.
