Aptera raises $5.7M through warrant exercise as it pushes toward production
What's the deal? Aptera Motors Corp. (NASDAQ: SEV) has raised roughly $5.7 million in gross proceeds by inducing the immediate exercise of warrants issued in March 2026. Holders exercised warrants to buy up to 2,775,000 shares of Class B Common Stock at a reduced price of $2.07 per share.
How it works: In exchange for the cash exercise, the Carlsbad, California-based company agreed to issue new, unregistered warrants to buy up to 4,162,500 shares at $2.25 each. The new warrants become exercisable six months after issuance and expire five and a half years out.
What's the money for? Aptera said it intends to use net proceeds for working capital, general corporate purposes, and continued advancement of its validation vehicle manufacturing and testing phases.
Why now? The raise comes just months after the March 2026 warrant issuance, a quick return to the same investors for fresh capital. The transaction is expected to close on or about July 13, 2026, subject to customary closing conditions.
Who's involved? A.G.P./Alliance Global Partners is acting as exclusive financial advisor. The new warrants and underlying shares are being offered in a private placement under Section 4(a)(2) of the Securities Act of 1933; Aptera has agreed to file a resale registration statement with the Securities and Exchange Commission.
The signal: The deal shows Aptera leaning on incremental, dilutive financing to fund its path to production, tapping existing warrant holders rather than a larger fresh round. For a pre-production maker still in validation and testing, small, repeated capital top-ups signal both continued investor appetite and the cash intensity of getting a vehicle to market.
