Helios vehicle bids for Beta Glass minority stake at $0.43 a share

What's the deal? Emerald HoldCo B.V. has launched a mandatory takeover offer for up to 11.74 million ordinary shares in Nigeria's Beta Glass Plc at N590.94 ($0.43) per share. The offer, disclosed in a notice dated July 6, covers 11,741,509 shares — about 1.96% of the glass packaging maker's issued share capital.

Why now? The bid follows Emerald HoldCo's acquisition of full ownership of Emerald Nigeria Intermediate Holdings B.V., formerly Frigoinvest Nigeria Holding B.V., from Frigoglass Group in February 2026. Through that deal, Emerald assumed indirect ownership of 331.26 million Beta Glass shares — roughly 55.22% of the company.

Under Nigerian rules, investors that gain control of a listed company must extend an offer to remaining shareholders. The transaction was launched under Part XII of Nigeria's Investments and Securities Act, 2025, and the Securities and Exchange Commission's rules on mergers, takeovers, and acquisitions.

What is Beta Glass? The Lagos-based company is one of West and Central Africa's largest glass packaging manufacturers. It runs plants in Agbara, Ogun State, and Ughelli, Delta State, producing more than 700 tonnes of containers daily for beverages, pharmaceuticals, food, and cosmetics.

What changes for shareholders? The offer lets minority holders sell part or all of their holdings following the change in control. It applies only to shares not already held by Packaging Industries Nigeria Limited and Emerald Nigeria Intermediate Holdings. The board approved the deal on February 5, 2026, the SEC has cleared it, and the qualification date for eligible shareholders was June 25, 2026.

The signal: The bid caps a post-control clean-up after Helios became Beta Glass' ultimate controlling party, fitting a wider private-equity pattern in African industrials of buying platform assets outright and then consolidating minority stakes. For Nigerian investors, it may crystallise value — but could also remove a scarce, liquid pure-play packaging asset from the local market.
