BENO TNR raises $7.1M as new backer becomes largest shareholder

What's the deal? BENO TNRDealroom has a profile for this one. Try Dealroom → has raised 9,999,990,000 KRW ($7.1 million) in a private placement led by Acro New Technology Association No. 241, the Korean company said in a July 3 disclosure. The deal issues 11,737,089 new common shares at 852 KRW each — a 10% discount to the 946 KRW reference price.

Why now? The buyer is the same party that signed a share transfer agreement to become BENO TNR's largest shareholder. The company said it selected the investor based on its intent, ability to pay, and timing, prioritising a fast raise.

What's the endgame? BENO TNR will use the funds for operating expenses, planning to spend 3 billion KRW in 2027 and 7 billion KRW from 2028. Payment is due December 23, with the new shares set to list on January 11, 2027.

What could go wrong? The placement sits alongside a broader financing and control shift: BENO TNR has separately moved to raise 50 billion KRW via convertible bonds and equity, and has changed payment dates more than once, raising questions about deal stability. The new shares will be locked up in full for one year at the Korea Securities Depository.

The signal: The raise reflects continued sector momentum, but the details matter more than the headline — a shaky balance sheet and a pending change of control put the transparency of fund use squarely in focus.
