Otovo raises NOK 67M to fund UK solar acquisition

What's the deal? Norwegian residential solar company Otovo ASA has raised approximately NOK 67 million ($6.3 million) through a private placement and retail offering, the company said. A separate secondary sale of existing shares by an unnamed shareholder brought the total transaction to about NOK 72.5 million.

The details: Otovo allocated 5,046,092 new shares in the private placement and 806,560 in the retail offering, both priced at NOK 11.50 per share. The selling shareholder placed 453,908 existing shares at the same price, for roughly NOK 5.2 million.

What's the endgame? Net proceeds will primarily fund the contemplated acquisition of Green Panel Energy Systems Ltd, plus general corporate purposes. If that deal collapses, the earmarked funds may be redirected to general corporate use.

Why now? The raise follows a run of capital-raising tied to Otovo's push into solar service and maintenance and OEM partnerships across Europe and the US. In March 2026, it raised about NOK 161 million to finance its EnergyAid acquisition in the US.

Chair Lars Erik Torjussen and board member George Coyle were among the insiders who subscribed, taking 16,783 and 11,642 shares respectively.

What could go wrong? The new shares carry a separate, unlisted ISIN and only become tradeable on Euronext Oslo Børs once a prospectus is approved and published, expected during Q3 2026. Settlement was expected on or about July 7, 2026.

The signal: The step-up from Otovo's previous round — and the successful take-up of yet another equity offering — suggests investors remain willing to back its roll-up strategy in residential solar operations, even as broader clean energy equities stay volatile. The secondary sale points to a shareholder base rebalancing as the company scales.
