Zee to raise ₹3,144 crore ($377M) via warrants to promoter group
What's the deal? Zee EntertainmentDealroom has a profile for this one. Try Dealroom → has approved a preferential issue of up to 24.95 crore fully convertible warrants to Sunbright Mauritius Investments, a promoter group entity.
The warrants, priced at ₹126 each, will raise up to ₹3,143.52 crore ($377 million). Each converts into one equity share within 18 months of allotment.
The move still needs shareholder and regulatory approval.
Why now? The capital raise reinforces the promoter group's stake at a time when Zee has faced years of ownership uncertainty, including the collapse of its planned merger with SonyDealroom has a profile for this one. Try Dealroom →.
Alongside the warrant issue, Zee's board cleared a new employee stock option scheme, ESOP 2026, covering up to 3.74 crore options at an exercise price of ₹126 per share.
What could go wrong? The deal hinges on shareholder and regulatory sign-off, neither of which is guaranteed.
Warrant conversion also dilutes existing shareholders, and pricing the issue at ₹126 could draw scrutiny if it sits below market value.
The signal: Zee has spent nearly three decades building a global content operation that spans broadcasting, digital, movies and music across 190 countries, and pricing the promoter warrants at parity with the new ESOP scheme signals an effort to align management and ownership incentives as the late-stage company works to steady itself after the failed Sony merger.
