Shop Circle rebrands as Circeus, raises EBRD backing to fuel AI software roll-ups

What's the deal? The London-based group behind Shop CircleDealroom has a profile for this one. Try Dealroom → has launched Circeus, an AI-native holding company for mission-critical software.

The launch comes with a new equity investment led by the European Bank for Reconstruction and DevelopmentDealroom has a profile for this one. Try Dealroom → (EBRD), with other investors participating.

Shop Circle stays on as the group's retail and commerce software division. Circeus has now raised more than $220 million in total capital.

Why now? Founder and chief executive officer Luca CartechiniDealroom has a profile for this one. Try Dealroom → said the group was not running a fundraising process, as it is profitable and well capitalised.

Instead, it "chose to make space for EBRD given their institutional standing" and to lean further into a market with attractive acquisition opportunities.

The cash will scale Circeus's central AI engineering capability and fund further deals, several of which are expected to close in the months ahead.

The model: Circeus buys software businesses and connects them to a shared AI capability, building agents and skills once and deploying them across the portfolio.

It has completed 18 acquisitions in four years and serves more than 200,000 businesses worldwide. The group says it is adding more revenue in 2026 than in the previous two combined.

AI-enabled features now drive a double-digit share of net new bookings, automate up to 80% of customer experience in some products, and have more than doubled developer productivity.

Founders who sell keep their brands, teams, and customer relationships, while gaining AI engineering and centralised back-office support.

What could go wrong? The roll-up strategy depends on a steady pipeline of acquisitions at sensible prices and on integrating each one without disruption.

The promised "compounding" advantage rests on AI gains repeating reliably across very different products — a bet that is easier to pitch than to prove at scale.

The signal: The EBRD's backing is notable given its profile as a government and non-profit development investor rather than a typical growth-equity backer, lending institutional weight to Circeus's roll-up thesis. With Shop Circle having moved from a late-stage e-commerce app aggregator to one division of a broader AI-native holding company, the rebrand marks a deliberate pivot from commerce tooling to consolidating mission-critical software across sectors.
