The Houston biotech expects roughly $3.5 million in gross proceeds at closing, before placement fees and other expenses.
Shares were priced at $5.91 each. Decoy plans to use net proceeds to move its lead asset into clinical trials.
Why now? Decoy is pioneering Designable Multi-Antivirals (D-MAVs), a new category of antivirals engineered to target viral mechanisms shared across virus families.
The deal stacks milestone-based warrants that could unlock more cash as the company advances through regulators. A Series A warrant could add about $3.5 million after Decoy files a Clinical Trial Application in the European Economic Area for a Phase 1 trial.
A Series B warrant could add roughly $7 million on UK approval for a Phase 2a human challenge trial, and a Series C warrant another $7 million on positive Phase 2a data.
Closing is expected on or about June 29, 2026. Curvature Securities is the sole placement agent.
What could go wrong? The warrant proceeds are not guaranteed. Each tranche requires both shareholder approval and a specific regulatory or clinical milestone before the investor exercises.
If trials stall or regulators say no, the bulk of the potential funding — up to $21 million in full — never arrives. The $3.5 million in upfront cash is the only certainty.
