Core & Main launches $750M senior notes offering due 2034

The notes will be issued by its subsidiary Core & Main LP and traded on the NYSE under the ticker CNM.

Core & Main plans to use the proceeds to prepay part of its existing senior term loan due July 27, 2028, and for general corporate purposes.

Those purposes include organic growth, mergers and acquisitions, and share repurchases.

Why now? The move lets Core & Main refinance debt ahead of its 2028 loan maturity, extending the runway to 2034.

It also frees up capital to fund acquisitions and buybacks in line with the company's capital allocation strategy.

What could go wrong? The notes will not be registered under the Securities Act, limiting them to qualified institutional buyers and offshore investors.
