Blockmate Ventures raises up to C$750,000 to advance Wyoming AI data centre

What's the deal? Blockmate VenturesDealroom has a profile for this one. Try Dealroom →, a Toronto-based venture builder focused on AI, Bitcoin, and digital infrastructure, is raising up to C$750,000 (about $529,211) through a private placement.

The financing comes from board members and Gleneagle SecuritiesDealroom has a profile for this one. Try Dealroom →, an investment bank and fund manager. Blockmate may accept oversubscriptions of up to C$250,000 more, bringing the potential total to C$1,000,000.

The deal consists of up to 15,000,000 units priced at C$0.05 each. Each unit pairs one common share with one warrant to buy an additional share at C$0.075 within 24 months.

Why now? Blockmate wants to advance its Wyoming AI data centre opportunity. Proceeds will fund engineering, surveying, site planning, local engagement, and power and fibre diligence, plus general working capital.

Demand for AI computing has driven a global rush to build data centres, and Wyoming's cheap power makes it an appealing site.

What could go wrong? Closing depends on customary conditions, including approval from the TSX Venture Exchange. Insiders are expected to participate, making it a related party transaction.

Blockmate intends to rely on exemptions from formal valuation and minority shareholder approval rules, arguing the insider portion stays below 25% of its market capitalisation.

The signal: For an early-stage venture builder, leaning on board members and a single external backer in Gleneagle Securities — rather than a broad institutional syndicate — signals that Blockmate is funding its Wyoming ambitions in tightly controlled, incremental steps, with this raise covering little more than early diligence on power, fibre, and site planning.
