Those warrants are immediately exercisable, expire two years after issuance, and carry a 9.99% ownership cap.
Why now? Westport plans to use the net proceeds for working capital and general corporate purposes. Closing is expected on or about June 23, 2026.
If the warrants are fully exercised in cash, the company could collect roughly US$10 million more.
What could go wrong? The new shares create immediate equity dilution, and the warrants add further dilution if exercised.
Investors reacted fast: the stock fell as much as 17% on the news, trading near US$1.88 and wiping about US$8 million off Westport's roughly US$39 million market value.
The extra proceeds are also far from guaranteed, as the timing and likelihood of warrant exercise remain uncertain.
