Openknowl to issue ₩8.5B in zero-coupon convertible bonds to repay debt

What's the deal? Openknowl, a South Korean company listed on the KOSDAQ (ticker: 440320), has decided to issue ₩8.5 billion (roughly $6.1M) in convertible bonds. The company disclosed the move on June 19, stating the funds will be used to repay existing debt.

The bonds are privately placed, unsecured, and carry 0% interest — both coupon and maturity rates. They mature on June 29, 2031.

The conversion price is set at ₩3,575 per share. If fully converted, the bonds would create roughly 2.38 million new shares, representing about 19.24% of Openknowl's total outstanding shares.

Bondholders can request conversion between June 29, 2027 and May 29, 2031. The subscription date is June 19, with payment due June 29.

Why now? The zero-interest structure suggests Openknowl needed to move quickly on debt obligations and opted for a convertible instrument that minimises near-term cash outflows. By deferring any cost to the equity side, the company buys time while addressing its balance sheet.

What could go wrong? The conversion would dilute existing shareholders by nearly a fifth. Zero-coupon convertible bonds at a set price also signal that the company may have limited access to more conventional financing. If Openknowl's share price stays below ₩3,575, bondholders may choose not to convert — leaving the company with a lump-sum repayment at maturity.

The signal: Openknowl, which Dealroom classifies as a "breakout stage" company focused on online career management and IT-sector mentoring, is resorting to zero-coupon convertible debt to manage its balance sheet — a move that underscores the limited financing options available to smaller KOSDAQ-listed firms even as they attempt to scale. The willingness of private investors to accept 0% interest in exchange for equity upside suggests confidence in the company's longer-term trajectory, but the nearly 20% potential dilution places a significant bet on whether Openknowl can grow into that valuation before conversion begins in 2027.
