Fjord Defence raises NOK 412.5M in oversubscribed post-IPO private placement

What's the deal? Norwegian defence company Fjord Defence Group has completed a post-IPO private placement, raising approximately NOK 412.5 million ($412.5M) by issuing 25 million new shares at NOK 16.50 each. The placement was significantly oversubscribed and upsized by roughly NOK 37.5 million from the original NOK 375 million target.

The proceeds will partly fund Fjord Defence's acquisition of PartnerTech Karlskoga Aktiebolag, a Swedish defence manufacturer. Key investors in the placement include Mack Holding AS, Finance Interims ToDo AS, TigerstadenDealroom has a profile for this one. Try Dealroom → AS, Pirol AS, Boolean AS, Lunor Capital AS, Tigergutt AS, and Tigerstate Capital AS.

Why now? The placement was timed to coincide with Fjord Defence's agreement to acquire 100% of PartnerTech, announced on June 17, 2026. The company needed capital quickly to fund the cash portion of the deal and took advantage of strong institutional appetite for defence stocks.

Fjord Defence said it had broadened its shareholder base with "long-term investors supporting its strategy to build the Fjord Defence Group through acquisitions of profitable defence companies with significant further growth potential."

What could go wrong? Acquisition-led growth strategies carry integration risk, especially across borders. Fjord Defence is a relatively young listed company, and absorbing a Swedish manufacturer while digesting a significant capital raise will test its management team. The shares issued on a separate ISIN won't be tradable on Euronext Oslo Børs until a listing prospectus is approved by Norway's Financial Supervisory Authority, which could create short-term liquidity constraints for some investors.

The signal: Fjord Defence's oversubscribed placement underscores surging institutional appetite for European defence plays as NATO members accelerate military spending commitments. The involvement of Norwegian investment funds such as Tigerstaden — alongside a broad mix of domestic institutional backers — suggests that Nordic capital pools increasingly view defence consolidation as a durable, policy-driven growth theme rather than a cyclical bet.
