IDNTT completes €5M post-IPO private placement led by Alkemia SGR

What's the deal? IDNTT Spa has completed a private placement worth €5M ($5M), issuing 1.5 million new shares and selling 130,000 treasury shares at €2.98 per share. The placement attracted leading Italian and international institutional investors, with Alkemia SGR Spa as the anchor, committing €3M through its closed-end reserved investment fund "PIPE."

Following the transaction, IDNTT's share capital rose to CHF184,877.22, divided into more than 9.2 million registered shares with a par value of CHF0.02 each.

Why now? The placement comes as IDNTT looks to strengthen its balance sheet and bring institutional backers on board after its IPO. Alkemia SGR's sizeable commitment — accounting for 60% of the total raise — signals strong conviction from a specialist fund focused on post-IPO opportunities.

What could go wrong? Issuing new shares dilutes existing shareholders, and the treasury share sale adds further supply to the market. If IDNTT doesn't deploy the fresh capital effectively, the dilution could weigh on the stock. Reliance on a single anchor investor for the majority of the raise also concentrates risk.

The signal: Post-IPO equity rounds are becoming a more visible tool for smaller listed companies seeking growth capital without the complexity of a secondary offering. For institutional investors like Alkemia SGR, these placements offer a way into public companies at negotiated prices — a strategy that blurs the line between public and private markets.
